General Advertising Conditions

1.     The Publisher, Bay Area Soccer Academy (BASA) will accept an advertisement only upon the issuance of a written insertion confirmation from the advertiser.

2.    Advertisements are accepted upon the representation that advertiser and its agency have the right to publish the contents thereof. In consideration of such publication, advertiser and its agency agree to indemnify and hold publisher harmless against any expense or loss by reason of any claims arising out of publication from advertiser's unauthorized use of any name, photograph, sketch, or words protected by copyright or registered trademark.

3.    All contents of advertisements are subject to BASA's approval. BASA reserves the right to reject or cancel any advertisement, insertion order, space reservation or position commitment at any time. The word "advertisement" may be placed with an advertisement resembling, in the BASA's opinion, editorial material.

4.    BASA shall not be liable for any costs or damages if for any reason it fails to publish an advertisement. In no event shall BASA be liable for any damages, consequential or otherwise, in excess of the amount paid for the advertisement, as a result of any mistake in the advertisement or for any other reason.

5.    While BASA makes its best effort to honor position requests, the position of an advertisement is at BASA's discretion except where a guaranteed position fee has been paid.

6.    Changes and corrections to an advertisement are the responsibility of the advertiser and its agency. BASA only makes changes upon receipt of written instructions prior to the copy deadline date of each issue.

7.    The advertiser and its agency are jointly or severally liable for such amount as is due in the event of nonpayment.

8.    BASA reserves the right to reduce the discount level at which an advertisement is being billed if it appears improbable that the advertiser will, in fact, earn that rate level. Regardless of what rate is billed, at contract year end, the lowest rate earned will be applied and short-rate adjustments made for the contract year.

9.    BASA's editorial content and editorial policies are made without regard to its decision to accept advertisements.

10.    Advertisements not received by BASA's advertising offices by closing date will not be entitled to the privilege of O.K. or revision by the advertiser or the agency. BASA may use prior ad material if new material is not received on time. Advertising material received after deadline is subject to late form position and/or omission from advertisers index.

11.    Cancellations or changes in orders must be made in writing and be received by BASA on or before the closing date. Ad materials will be stored for six week from the date of BASA's receipt and then destroyed unless the advertiser requests the return of the materials in writing prior to that date. Changes in ad material are permitted, provided written authorization is received by the issue's closing date.

12.    No conditions other than those set forth on rate page shall be binding on the publisher unless specifically agreed to in writing by the BASA. BASA will not be bound by conditions printed or appearing on order blanks or copy instructions which conflict with provisions in this rate card.

13.    BASA is not liable for delays and/or non-delivery in the event of natural disaster, action by any governmental or quasi-governmental entity, fire, flood, insurrection, riot, explosion, embargo, strikes whether legal or illegal, labor or material shortage, transportation interruption of any kind, work slowdown, or any condition outside of the control of the publisher affecting production or delivery in any manner.

14.    By the issuance of rate page, the advertiser and its agency agree to its contents without further contract.

Financial Information

1.    The advertiser and its agency are fully responsible for the amount owed for an insertion order cancelled after the cancellation deadline.

2.    Commission: 15% to legal advertising agencies supplying camera-ready material.

3.    Guaranteed positions are available on a non-cancelable basis at an extra charge of 15%. BASAreserves the right to select ad location unless advertiser pays for a special position.
